1. Introduction

Welcome to VardaCal ("we," "our," or "us"). By accessing or using our AI-powered scheduling platform and services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). Please read these Terms carefully before using our Services.

By using VardaCal, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Services.

2. Services Description

VardaCal provides an AI-powered scheduling platform that learns your patterns, optimizes meeting times, and improves booking success rates. Our Services include calendar synchronization, AI-driven scheduling optimization, booking management, payment processing, API access, white-label solutions, and related features.

We reserve the right to modify, suspend, or discontinue any part of our Services at any time, with or without notice to you. We will not be liable to you or any third party for any such modification, suspension, or discontinuation.

3. Account Registration

To use certain features of our Services, you may need to create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

You are responsible for safeguarding your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security.

We reserve the right to disable any user account at any time if, in our opinion, you have failed to comply with these Terms or if we believe your account is being used fraudulently.

4. AI and Data Processing

VardaCal uses artificial intelligence to analyze your scheduling patterns, optimize meeting times, and provide predictive recommendations. By using our Services, you consent to our AI processing your scheduling data to provide these features.

Our AI learns from your patterns but does not share your personal data with other users. All AI processing is done in accordance with our Privacy Policy and applicable data protection laws.

You maintain ownership of all data you provide to our Services. We use your data solely to provide and improve our Services as described in our Privacy Policy.

5. Subscription Plans

VardaCal offers various subscription plans including Free, Professional, Teams, and Platform tiers. Each plan includes different features and usage limits as described on our pricing page.

Free Plan: Includes basic features with usage limitations and VardaCal branding.

Paid Plans: Professional ($8/user/month), Teams ($12/user/month), and Platform plans ($99-499/month) offer additional features, higher limits, and white-label options.

Platform API usage beyond included limits will be charged at the rates specified in your plan. All fees are exclusive of taxes unless stated otherwise.

6. Platform API Terms

If you use our Platform API to integrate VardaCal into your application:

You must comply with our API documentation and rate limits;
You may not use the API to compete directly with VardaCal;
You are responsible for your users' compliance with these Terms;
White-label features must not misrepresent the service provider;
Usage-based pricing applies after included bookings are exceeded.

7. User Content

Our Services allow you to store and manage scheduling data, calendar events, and related content ("User Content"). You retain all rights to your User Content.

By using our Services, you grant us a limited license to process your User Content solely for the purposes of operating and providing our Services, including AI optimization features.

You represent and warrant that you have the necessary rights to your User Content and that it does not violate any third-party rights or applicable laws.

8. Prohibited Uses

You agree not to use our Services to:

Violate any applicable law or regulation;
Infringe upon the rights of any third party;
Transmit spam or unsolicited communications;
Introduce malware or harmful code;
Attempt unauthorized access to our systems;
Interfere with Service performance or security;
Reverse engineer our AI algorithms;
Resell our Services without authorization;
Use our Services for any illegal purpose.

9. Payment Terms

Payments are processed securely through our payment partners. By providing payment information, you authorize us to charge the applicable fees for your subscription plan.

Subscriptions automatically renew unless cancelled. You may cancel at any time, with cancellation taking effect at the end of your current billing period.

We reserve the right to change our prices with 30 days' notice. Continued use after price changes constitutes acceptance of new pricing.

10. Intellectual Property

All content, features, and functionality of VardaCal, including our AI technology, algorithms, and user interface, are owned by VardaCal and protected by intellectual property laws.

The VardaCal name, logo, and all related marks are trademarks of VardaCal. You may not use these marks without our prior written permission, except as allowed under white-label agreements.

11. Privacy and Data Protection

Your use of our Services is also governed by our Privacy Policy, which describes how we collect, use, and protect your information.

We comply with applicable data protection laws including GDPR and CCPA. You have rights regarding your personal data as described in our Privacy Policy.

12. Disclaimer of Warranties

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT UNINTERRUPTED OR ERROR-FREE SERVICE.

While our AI strives to optimize scheduling, we cannot guarantee specific outcomes or success rates. Results may vary based on individual usage patterns and data quality.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VARDACAL SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING FROM YOUR USE OF OUR SERVICES.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO US IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.

14. Indemnification

You agree to indemnify and hold harmless VardaCal from any claims arising from your violation of these Terms, misuse of our Services, or infringement of any third-party rights.

15. Governing Law

These Terms shall be governed by the laws of the State of Delaware, United States, without regard to conflict of law provisions.

Any disputes shall be resolved through binding arbitration in accordance with the American Arbitration Association rules.

Continued use after changes constitutes acceptance of modified Terms. If you disagree with changes, you may discontinue use of our Services.
